1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Shuohe (Beijing) Supply Chain Management Co., Ltd. (“Company”, “we”, “us”, or “our”), concerning your access to and use of our mobile applications, games, and website.
2. Business Cooperation Framework
Shuohe operates under three primary business models. Each model may be subject to additional specific contractual agreements:
2.1 Project Co-Operation (Proxy Operations)
We provide full-lifecycle operational services for third-party mobile projects, including global publishing, user acquisition, and localized community management. Revenue sharing and operational responsibilities are defined in separate Operational Agreements.
2.2 Custom Research & Development (Outsourcing)
We offer end-to-end technical R&D services. Intellectual property (IP) rights, delivery milestones, and payment terms are governed by the specific Statement of Work (SOW) executed between the parties.
2.3 Self-Developed Project Operations
For applications developed internally by Shuohe, users are granted a limited, non-exclusive, non-transferable license to use the service for personal, non-commercial purposes.
3. Payments and Monetization
Our services may include Virtual Items (currency, skins, tools), VIP Subscriptions, and Premium Features. You agree that all purchases are final and non-refundable, except as required by the laws of your jurisdiction or platform (Apple/Google) policies.
4. Intellectual Property Rights
Unless otherwise indicated, all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Services (collectively, the “Content”) and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us.
5. Dispute Resolution & Legal Jurisdiction
5.1 Informal Negotiations
To expedite resolution and control the cost of any dispute, the parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration or court proceedings.
5.2 Governing Law
These Terms and your use of the Services are governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.
5.3 Binding Arbitration
Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the Beijing Arbitration Commission (BAC) in accordance with its rules. The seat of arbitration shall be Beijing, China. The language of the proceedings shall be Chinese.
6. Limitation of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, or loss of data arising from your use of the services.
